These Terms of Service (“Terms”) govern your access to and use of Restify websites, applications, and related services (the “Services”). By using the Services, you agree to these Terms.
2. Eligibility and accounts
You must have authority to bind your business. You are responsible for account credentials and for all activity under your account. Notify us promptly of unauthorized use.
3. Subscriptions, trials, and fees
Fees, billing cycles, taxes, and renewal terms are presented at purchase or in your order. Trials may convert to paid subscriptions unless cancelled in accordance with the applicable offer terms.
4. Acceptable use
You will not misuse the Services, attempt to gain unauthorized access, interfere with operation, use the Services for unlawful purposes, or violate applicable laws and regulations.
5. Customer data
You retain rights in data you submit to the Services. You grant us permission to host, process, and display such data as needed to provide the Services. You represent that you have necessary rights and consents for the data you provide.
6. Intellectual property
We and our licensors own the Services, software, branding, and related intellectual property. Except for the limited rights expressly granted, no rights are transferred to you.
7. Third-party services
The Services may integrate with third-party products. Third-party terms may apply. We are not responsible for third-party services.
8. Availability and changes
We strive for reliable operation but do not guarantee uninterrupted service. We may modify, suspend, or discontinue features with reasonable notice where practicable.
9. Warranty disclaimer
To the maximum extent permitted by law, the services are provided “as is” and “as available” without warranties of any kind, whether express or implied.
10. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability arising out of the services will not exceed the amounts you paid to us for the services in the twelve (12) months before the claim (or, if none, fifty dollars).
11. Indemnity
You will defend and indemnify us against claims arising from your use of the Services, your data, or your violation of these Terms, subject to applicable law.
12. Termination
Either party may terminate as described in your subscription terms or if the other party materially breaches and fails to cure where cure is appropriate. Provisions that by nature should survive will survive.
13. Governing law
These Terms are governed by the laws applicable to your contract with us, excluding conflict-of-law rules. Courts in the agreed venue may have jurisdiction.
